Terms of Service – Ecotabi Sdn. Bhd.

1. Acceptance of Terms

By accessing, registering, or using the Ecotabi SaaS platform, consultancy, training, or related services (collectively, the "Services"), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree, you must not use the Services.

2. Services Provided

Ecotabi Sdn. Bhd. ("Ecotabi", "we", "our", "us") provides software-as-a-service (SaaS) tools, training, consultancy, and ESG analytics/benchmarking services.

We may update, modify, suspend, or discontinue any part of the Services at our discretion.

3. Account Registration & Responsibilities

• You must provide accurate information when creating an account.
• You are responsible for maintaining confidentiality of your login credentials.
• You agree to notify us immediately of any unauthorised use of your account.
• You remain responsible for activities under your account, whether authorised or not.

4. Subscription, Fees & Payment

• Fees are payable as per the subscription or service plan selected.
• Payments are due in the currency and method specified at checkout.
• Fees are non-refundable except where required by law.
• We may suspend or terminate Services if payment is overdue.

5. User Obligations & Acceptable Use

You agree not to:

• Use the Services for unlawful or harmful purposes.
• Upload or transmit malicious code, viruses, or harmful data.
• Reverse engineer, decompile, or attempt to extract source code.
• Infringe intellectual property rights of Ecotabi or third parties.
• Use the Services in a manner that disrupts or degrades performance for others.

6. Intellectual Property Rights

• All intellectual property rights in the Services (software, content, trademarks, logos) remain the exclusive property of Ecotabi or its licensors.
• You retain ownership of data you input or upload ("Customer Data").
• By using the Services, you grant Ecotabi a limited licence to process Customer Data solely for delivering the Services.
• Ecotabi may use anonymised or aggregated data for analytics, benchmarking, and research purposes.

7. Data Protection & Privacy

Your use of the Services is also governed by our Privacy Policy.

By using the Services, you consent to Ecotabi processing your personal data in accordance with the Personal Data Protection Act 2010 (Malaysia) and our Privacy Policy.

8. Service Availability & Support

• We will use reasonable efforts to maintain availability of the Services but do not guarantee uninterrupted or error-free operation.
• Scheduled maintenance or updates may cause temporary downtime.
• Support services may be provided according to your subscription plan.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided on an "as is" and "as available" basis, without warranties of any kind.
• Ecotabi disclaims all implied warranties, including merchantability, fitness for purpose, and non-infringement.
• Ecotabi is not liable for any indirect, incidental, consequential, special, or punitive damages.
• Our total aggregate liability, whether in contract, tort, or otherwise, will not exceed the fees paid by you to Ecotabi in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Ecotabi, its directors, employees, and partners from any claims, damages, liabilities, or expenses arising from your:

• Use of the Services;
• Breach of these Terms;
• Violation of applicable laws or third-party rights.

11. Suspension & Termination

• Ecotabi may suspend or terminate your access if you violate these Terms, fail to pay fees, or use the Services unlawfully.
• Upon termination, your right to use the Services ceases immediately.
• Certain provisions (e.g., Intellectual Property, Limitation of Liability, Indemnification) survive termination.

12. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Malaysia.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
• We encourage resolving disputes amicably before proceeding with legal action.

13. Changes to Terms

We may update these Terms from time to time. Updates will be posted on our website with the effective date. Continued use of the Services constitutes acceptance of updated Terms.
